Guardian Takes Minority Stake of HPS Investment Partners and Shifts 30bln in Private Credit Assets to HPS as the Investment Manager

Objectives:

Collaborate with internal stakeholders and HPS to engineer a new joint target operating where HPS manages private credit for Guardian. Transfer 30bln dollars of private credit assets, teams, technology, people, data, processes to HPS. Create new inbound governance processes, data feeds needed to be established. Evaluate systems for migration to HPS against it’s current technology stack. Honor transition services agreements to run the investments business on Day 1 without interruption and create a legal framework to meet bi-lateral corporate obligations.

Role We Played: Transition Leader Representing Guardian - Oversaw all transition service obligations; Facilitated completion of the IMA; Negotiated deliverables and transition plans; Identifed and resolved inter-company dependencies; On-board/off-boarded assets, people and, processes to HPS; Stood up joint transition governance framework; Ensured day to day activities run without interruption. Other Duties Included: Set up of the inter-company transition office, operationalized the legal framework; TSA rationalization with legal and HPS; Inter-company transition plan development; Joint inter-company KPIs, systems, process and data mapping.
