Guardian Divestiture of Reed Company to Alight
Objectives:
Implement deal mandate to divest Reed Company to Alight. Carry out post close negotiations as the main face off to Alight representing Guardian interests. Negotiate custom-tailored governance framework, transition commitments for HR, Compliance, Risk, Operations, India, Finance and IT. Negotiate all transition fees and collect, justify costs to Alight. Ringfence Alight transition schedules to ensure timely transition. Work with deal team, C-Suite, HR to solve complex issues and major disagreements between the two parties.
Role We Played: Transition Leader Representing Guardian - Oversaw all transition service obligations; Facilitated completion of the IMA; Negotiated deliverables and transition plans; Identifed and resolved inter-company dependencies; On-board/off-boarded assets, people and, processes to Alight; Stood up joint transition governance framework; Ensured day to day activities run without interruption. Other Duties Included: Set up of the inter-company transition office, operationalized the legal framework; TSA rationalization with legal; Mentored internal staff and consultants that were brought on board; Inter-company transition plan development; Joint inter-company KPIs, systems, process and data mapping.
